NBIS Falls 3.6% After Pricing $5B Convertible Notes
Nebius Group N.V. (NBIS) fell 3.6% on Aug 19, 2026 after the AI cloud company priced a $5.0 billion convertible senior notes offering.
What Nebius announced
Nebius said it priced a private offering of $5.0 billion aggregate original principal amount of convertible senior notes in two series. The deal includes $3.0 billion of 0.50% convertible notes due 2030 and $2.0 billion of 4.50% convertible notes due 2034.
The company noted the offering was upsized from the previously announced $4.5 billion size. Settlement is expected on August 24, 2026, subject to customary closing conditions.
Nebius also granted the initial purchasers an option to buy additional notes: up to $450 million more of the 2030 notes and up to $300 million more of the 2034 notes, for settlement within 13 days from when the notes are first issued. Separately, the company said it entered into exchange agreements with a limited number of holders of its 2.00% convertible senior notes due 2029.
