$S Falls 4.7% After Court Rejects Meeting Deadline Bid

Sherritt International Corporation (TSX:S) updated investors on a court dispute over an activist push to force an earlier shareholder meeting, and the stock fell 4.7% on Aug 19, 2026.

What Sherritt announced

Sherritt said it received an update from the Ontario Superior Court of Justice (Commercial List) on an application brought by Kyma Capital Limited seeking to compel a shareholder meeting by the end of September 2026.

According to Sherritt, the Court advised it could not compel a meeting within the timeframe Kyma requested. In an endorsement issued that day, the Court also addressed a Kyma press release that suggested a shareholder meeting had already been called for the end of September, finding that no such meeting had been called.

Sherritt added it expects Kyma’s application to have the company’s combined annual and special meeting held earlier than the currently scheduled date of December 15, 2026 to be heard in late September.

What it means for Sherritt

At a basic level, the Court’s message appears to slow down Kyma’s attempt to force a near-term meeting, at least through the specific timing Kyma sought. That matters because meeting timing can shape how quickly shareholders can vote on governance changes or other proposals.

The Court’s comments about “confusion among shareholders” also put a spotlight on communications around the dispute. Sherritt said it remains focused on navigating “significant challenges” and urged stakeholders to be cautious about statements made by third parties.

With another hearing expected in late September, the situation still looks active — but Sherritt’s update suggests the company is sticking to the currently scheduled December 15, 2026 meeting date unless a court decision changes that.
