$S Rose 3.9% After Sherritt Pushes Back on Kyma Meeting

Sherritt International Corporation (TSX:S) said Kyma Capital isn’t entitled to call a shareholder meeting and called Kyma’s claimed September 29, 2026 date invalid, and the stock rose 3.9% on Aug 18, 2026.

What Sherritt announced

Sherritt responded to Kyma Capital’s latest attempt to convene a special meeting of shareholders for September 29, 2026. The company said Kyma is not entitled to call a meeting and that Kyma’s assertion of setting a September meeting date is “inappropriate and invalid,” because Sherritt has already set December 15, 2026 for a combined annual and requisitioned special meeting.

Sherritt said it is evaluating “all appropriate action” in response to Kyma’s announcement. The company also said Kyma is seeking to initiate court proceedings to try to force a September meeting date, with an initial case conference set for August 19, yet still announced a September meeting date despite the court process.

Sherritt added that the December 15, 2026 date was informed by ongoing discussions around a potential transaction contemplated by a non-binding term sheet with Gillon Capital, LLC, as well as ongoing efforts to engage and present an auditor for appointment at the meeting.

What it means for Sherritt

At its core, this is a governance fight over who controls the timeline — and potentially the agenda — for a shareholder vote. By stating Kyma’s meeting call is invalid and pointing to court steps, Sherritt is signaling it plans to contest the move rather than treat it as a normal shareholder requisition.

The company also tied its preferred timing to two practical items: talks tied to a potential transaction under a non-binding term sheet with Gillon Capital, LLC, and lining up an auditor for appointment. If those processes are truly in motion, Sherritt appears to be arguing that a rushed September meeting could complicate or disrupt them.
